Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you. In such states, our liability shall be limited to the maximum extent permitted by applicable law.

9. Indemnification

12. Dispute Resolution

12.1 Informal Resolution

Via 313 will use reasonable efforts to resolve your concern within thirty (30) days of receipt. You acknowledge that this informal resolution process is a condition precedent to filing any formal claim.

12.2 Binding Arbitration

EXCEPT FOR DISPUTES THAT QUALIFY FOR SMALL CLAIMS COURT, ALL DISPUTES ARISING OUT OF OR RELATED TO THESE TERMS, THE SERVICES, OR ANY TRANSACTION WITH VIA 313 SHALL BE RESOLVED THROUGH BINDING ARBITRATION RATHER THAN IN COURT, EXCEPT THAT YOU MAY ASSERT CLAIMS IN SMALL CLAIMS COURT IF YOUR CLAIMS QUALIFY. THE FEDERAL ARBITRATION ACT (9 U.S.C. § 1 ET SEQ.) GOVERNS THE INTERPRETATION AND ENFORCEMENT OF THIS ARBITRATION PROVISION.

Arbitration shall be conducted by a mutually agreed-upon arbitration service, such as the American Arbitration Association (AAA) or JAMS, in accordance with their applicable rules. The arbitration shall take place in the jurisdiction where Via 313 operates unless you and Via 313 agree to conduct it by telephone, online, or solely based on written submissions.

12.3 Class Action Waiver

YOU AND VIA 313 AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. UNLESS BOTH YOU AND VIA 313 AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.

12.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending the resolution of a dispute. Nothing in this section shall limit Via 313's right to seek injunctive or other equitable relief in connection with any actual or threatened infringement of intellectual property rights.

13. Term and Termination

13.1 Term

These Terms shall remain in full force and effect while you use the Site or Services. We may terminate or suspend your access to the Services at any time, immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

13.2 Effect of Termination

Upon termination of your access to the Services:

  • Any outstanding payment obligations will immediately become due and payable;

No single or partial exercise of any right, power, or remedy shall preclude any other or further exercise of that right, power, or remedy or the exercise of any other right, power, or remedy. The rights and remedies provided in these Terms are cumulative and not exclusive of any rights or remedies provided by law.
